ZADNA SUSTAINABLE SOLUTIONS FZE L.L.C (“ZADNA”, “we”, “us” or “our”) operates a digital technology platform accessible via website and mobile application (collectively, the “Platform”). The Platform enables end users (“Users”, “you” or “your”) to discover, reserve, and purchase surplus food items offered by independent food and beverage establishments (“Partners”). These Terms and Conditions (“Terms”) govern your access to and use of the Platform. By creating an account, accessing, or using the Platform, you agree to be legally bound by these Terms. BY ACCESSING OR USING THE PLATFORM OR ANY PART OF THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE WITHOUT LIMITATION OR QUALIFICATION. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM OR SERVICES. THESE TERMS INCLUDE PROVISIONS REGARDING DISPUTE RESOLUTION. PLEASE READ THEM CAREFULLY AS THEY AFFECT YOUR LEGAL RIGHTS.
2.1 EligibilityTo access or use the Platform, you represent and warrant that you:• are at least eighteen (18) years of age;• have full legal capacity and authority to enter into binding contractual arrangements under applicable law; and• are accessing and using the Platform solely for personal, non-commercial purposes and not on behalf of any business, entity, or third party unless expressly permitted by ZADNA.ZADNA reserves the right to restrict or deny access to the Platform to any person who does not meet the above eligibility requirements.2.2 Account CreationCertain features of the Platform require you to create a user account. When registering an account, you agree to:• provide accurate, current, complete, and truthful personal information, including your name, email address, phone number, and any other information requested during registration; ensuring that all information provided always remains up to date; and• provide valid payment information where required to complete reservations or purchases.You acknowledge that ZADNA relies on the information you provide to operate the Platform and that any inaccuracies may affect your ability to access or use the Services.2.3 Account Security and ResponsibilityYou are solely responsible for:• maintaining the confidentiality and security of your login credentials, including passwords, verification codes, and account access devices;• all activities, reservations, transactions, and communications conducted through your account, whether authorized by you or not; and• promptly notifying ZADNA if you become aware of any unauthorized use of your account, loss of credentials, or other security breach.ZADNA shall not be liable for any loss or damage arising from your failure to safeguard your account credentials or from unauthorized access to your account, except where required by applicable law.2.4 One Account per UserUnless expressly permitted by ZADNA, you may maintain only one user account. Creating multiple accounts, using false identities, or impersonating another person is strictly prohibited.2.5 Suspension and TerminationZADNA reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate your account if:• any information provided by you is false, misleading, incomplete, or outdated;• you breach these Terms or any applicable law;• there is suspected fraudulent, abusive, or unlawful activity; or• such action is required to comply with legal or regulatory obligations. Suspension or termination of your account does not affect any rights or obligations accrued prior to such action.
3.1 ZADNA operates solely as a technology marketplace platform facilitating connections between Users and Partners.3.2 ZADNA:• does not prepare, cook, store, handle, transport, or deliver food[FS1.1][SY1.2];• does not own or sell any food items listed on the Platform;• is not responsible for food quality, safety, allergens, or compliance.3.3 Any purchase or reservation made through the Platform constitutes a direct transaction between you as user and the Partner.
4.1 Product InformationAll product descriptions, images, ingredients, prices, and availability are provided by Partners and may change at short notice. ZADNA does not verify or guarantee the accuracy or completeness of this information.4.2 Zadna Bags and Individual Items Products available on the Platform include individual surplus food items and curated “Zadna Bags,” which are pre-selected combinations of surplus items offered by Partners. All contents of a Zadna Bag are identified and disclosed to the User on the Platform prior to purchase. Users may purchase individual items or Zadna Bags as listed and described by the Partner at the time of ordering.4.3 Allergies and Health ConcernsUsers with allergies, dietary restrictions, or health concerns must check Product details directly with the Partner before making a reservation or consuming any Product. Users are solely responsible for assessing their own risks.4.4 Limitation of LiabilityZADNA acts only as a technology intermediary and does not handle, prepare, any Products. ZADNA shall not be liable for allergic reactions, food intolerance, or any adverse health effects resulting from Products.
5.1 Placing an order through the Platform constitutes an offer to purchase a Product.5.2 Order confirmation indicates receipt only and does not guarantee availability and delivery.5.3 Products must be collected at the Partner’s premises during the specified pickup window and as opted by the user. Failure to collect within the pickup time may result in forfeiture without refund.5.4 Products must be consumed immediately or as instructed by the Partner.
6.1 All prices are set by Partners and displayed on the Platform. To support the surplus food concept, Products listed on the Platform are offered at a minimum discount of 50% off their original retail price. The total amount payable by the User shall include the Partner’s listed price and any applicable Platform Service Fee as set out in Clause 6.4 below.6.2 Payments are securely processed through third-party payment service providers. ZADNA does not handle, store, or have access to your payment card or banking details.6.3 ZADNA may collect payments on behalf of Partners solely as a payment facilitation agent. The total amount charged to the User at checkout reflects the Partner’s listed price, any applicable discounts, and any Platform Service Fee as set out in Clause 6.4 below.6.4 Platform Service FeeIn addition to the Partner’s listed price, ZADNA charges a non-refundable Platform Service Fee per order, which is applied at the time of checkout and borne solely by the User. The applicable Service Fee is determined by ZADNA at its discretion based on the total order value and may vary accordingly. The exact Service Fee applicable to each order will be clearly displayed to the User on the checkout page prior to payment confirmation. The Platform Service Fee is charged by ZADNA for providing access to and use of the technology platform and related services, is separate from the Partner’s listed price, and does not form part of any amounts remitted to Partners. ZADNA reserves the right to amend the Service Fee structure from time to time, and any such changes will be reflected on the Platform and will apply to orders placed after the date of the change.6.5 TaxesAll prices displayed on the Platform are inclusive of applicable taxes unless stated otherwise by the Partner. ZADNA shall not be responsible for any additional tax obligations or charges that may arise in connection with the User’s purchase, which remain the sole responsibility of the Partner.
7.1 No CancellationsDue to the perishable nature of surplus food products, all orders placed on the Platform are final and binding. Users shall not be entitled for cancellation or refund for any order once it has been confirmed.7.2 No RefundsAll payments made on the Platform are non-refundable. No refunds shall be issued under any circumstances, including where the User fails to collect the reserved Product at the agreed pickup time.
When using the Platform, you agree to act responsibly and lawfully. You must not misuse the Platform, provide false or misleading information, harass or threaten Partners, staff, or other Users, or engage in any activity that violates applicable laws or regulations. ZADNA reserves the right to suspend, restrict, or permanently terminate your account if you breach this clause or engage in behavior that ZADNA deems inappropriate, harmful, or disruptive to the Platform or its community.
9.1 Submitting ReviewsUsers may submit reviews, ratings, or comments regarding Partners or Products. All submissions must be honest, accurate, lawful, and respectful. Content that is defamatory, offensive, discriminatory, or otherwise unlawful is strictly prohibited.9.2 Moderation and RemovalZADNA reserves the right, at its sole discretion, to remove, edit, or restrict any user-generated content that violates these Terms or that ZADNA considers inappropriate, fraudulent, or harmful.9.3 License to Use ContentBy submitting reviews, ratings, or other content, you grant ZADNA a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, display, distribute, and promote such content on the Platform and through related marketing or communications channels. You retain ownership of your content, but agree that ZADNA may use it as described without additional compensation.
ZADNA collects, stores, and processes your personal information in accordance with its Privacy Policy and Cookie Policy, which are part of these Terms. By using the Platform, you consent to the collection and use of your data as described in these policies. ZADNA takes reasonable measures to protect your information, but you acknowledge that no system is completely secure. You are responsible for keeping your account information accurate and for maintaining the confidentiality of your login credentials.
ZADNA may suspend, restrict, or terminate your access to the Platform at any time, with or without prior notice, if you breach these Terms, engage in misuse or fraudulent activity, or if suspension or termination is required to comply with applicable laws or regulations. Suspension or termination of your account does not affect any rights or obligations that have accrued prior to such action.
The Platform is provided on an “as is” and “as available” basis. ZADNA does not guarantee the accuracy, reliability, or availability of the Platform or the Products listed by Partners. To the maximum extent permitted by law, ZADNA shall not be liable for any food quality, safety, or consumption outcomes, nor for any acts or omissions of Partners. ZADNA is also not liable for indirect, incidental, or consequential losses. In any event, ZADNA’s total liability to you shall not exceed the amount you paid for the relevant reservation.
All intellectual property rights in the Platform, including text, graphics, logos, images, and software, belong to ZADNA or its licensors. Nothing in these Terms grants you any rights to use the Platform or its content except as expressly permitted for personal, non-commercial use. You may not copy, reproduce, distribute, modify, or create derivative works without ZADNA’s prior written consent.
These Terms, and any disputes arising from your use of the Platform, are governed by the laws of the United Arab Emirates. Any dispute, claim, or matter arising out of or relating to these Terms & Conditions shall first be resolved amicably through mutual discussions between the parties. If the parties are unable to resolve the dispute amicably within 30 days, the dispute shall be referred to the competent courts of Ajman, United Arab Emirates, which shall have exclusive jurisdiction to resolve the matter.
ZADNA may update this Terms & Condition from time to time. Updates will be posted on the mobile application with a new “Effective Date.” Continued use of the App after such updates constitutes your acceptance of the revised Terms & Condition.
